These terms govern dealings between ALKAYAN and its business customers in supply and maintenance work. They apply unless a signed contract between the parties provides otherwise, in which case that contract prevails.
Nature of dealing
ALKAYAN deals with corporate entities — companies, factories and facilities — and does not sell at retail to individuals. This assumes the customer operates a purchasing process based on requesting a quotation and then issuing a purchase order.
Quotations
A quotation we issue is an invitation to treat rather than a binding commitment to sell. Each quotation sets out the items and their specifications, quantities, prices, expected lead time, and the period for which the quotation itself remains valid.
Quoted prices lapse when that validity period expires. We reserve the right to revise a price before accepting a purchase order if there has been a material change in supply cost, exchange rate or item availability during that period — and we will notify you before execution rather than after.
Any line quoted as a technically equivalent alternative is expressly identified as such, and the customer's issue of a purchase order constitutes acceptance of that alternative to the stated specification.
Purchase orders and confirmation
No order proceeds until we receive a written purchase order from the customer referencing the quotation number. The purchase order constitutes acceptance of the quotation's items, specifications, prices and terms.
Any change to a purchase order after issue — in quantity, specification or delivery date — requires written agreement from both parties and may result in an adjustment to price or lead time.
Prices and VAT
Prices in our quotations are exclusive of VAT unless expressly stated otherwise. VAT is added at the rate prescribed by Egyptian law at the time the invoice is issued and appears as a separate line.
Unless the quotation states otherwise, prices exclude freight, installation and commissioning charges, and any other fees or taxes imposed by an official authority.
Payment terms
The applicable payment terms are those stated in the quotation or agreed in writing in the purchase order. In the absence of a written agreement to the contrary, the invoice value falls due on delivery.
Supplied items remain the property of ALKAYAN until paid for in full, without prejudice to risk of loss or damage passing to the customer at the point of delivery.
Lead times and delivery
The lead time stated in a quotation is an estimate and runs from the date a complete purchase order is received. It is based on availability at the time the quotation was issued.
Lead times may be affected by matters outside our control, including delays at a supply source, import procedures or transport conditions. Where a material delay arises we notify the customer as soon as possible, together with any available alternative.
Delivery is made to the location agreed in the purchase order. The customer is responsible for enabling receipt at the agreed time, including entry permits, space and unloading means where required.
Inspection on receipt
The customer should inspect supplied items on receipt and verify that they match the quantity and specification set out in the purchase order.
Any objection regarding shortage, visible damage or non-conformity must be raised in writing within a reasonable period of receipt. Failure to object within that period constitutes acceptance of the items as delivered.
Returns and replacement
Items supplied in conformity with the agreed specification may be returned only with our prior written agreement, and only if they are in original condition and packaging and unused.
Items supplied to a special specification or special request, or produced or prepared specifically for the order, are not returnable.
Items arriving that do not match the specification in the purchase order, or that are damaged on receipt, are replaced or otherwise remedied at our cost as agreed.
Warranty
Warranty on supplied items is the manufacturer's or original supplier's warranty on its own terms and duration. We do not provide a warranty beyond that unless stated in writing.
For maintenance work we perform, the warranty covers the executed work itself for the period stated in the quotation or contract. It does not extend to failures caused by misuse, operation outside specification, or intervention in the equipment by another party after our work.
Maintenance work at customer sites
The customer undertakes to provide safe access to the work area and the equipment being maintained, and to disclose any known site hazards before work begins.
Where execution requires isolation of supply, shutdown of equipment or interruption of a service, the timing is agreed in advance and the customer is responsible for managing the operational effect of that downtime.
What we provide is a technical service. Any formal accreditation certificates or licences issued by a competent regulatory authority are a separate process conducted directly with that authority, and our technical report is not a substitute for them.
Limitation of liability
Our liability in all cases is limited to the value of the item or service that is the subject of the claim, as stated in the purchase order.
We are not liable for indirect or consequential loss, including loss of profit, production stoppage, or loss of data or opportunity, arising from delay, non-conformity, or the use of supplied items.
Nothing above applies to cases where Egyptian law does not permit liability to be excluded.
Force majeure
Neither party is in breach where performance is prevented by a cause beyond its reasonable control, including natural disaster, civil disturbance, decisions of authorities, supply chain interruption or the like. The affected party notifies the other as soon as possible.

Governing law
These terms and any dispute arising from them are governed by Egyptian law and subject to the jurisdiction of the Egyptian courts, unless the parties agree in writing on another dispute resolution mechanism.

We may revise these terms; the date of the last update appears at the top of this page. The terms published at the time a quotation is issued apply to that order.
